Confirmation Statement

A confirmation statement is a filing requirement for all limited companies and LLP’s (Limited Liabilities Partnerships) in the UK and this is a legal requirement and is done through Companies House https://www.gov.uk/government/organisations/companies-house.

A confirmation statement is due every 12 months even if your company is dormant this means non trading or even if it has never traded.

The information that the confirmation statement requires is:

• Business Name
• Registered Address
• Class of Share
• Voting Rights
• SIC Codes
• People of Significant Control

If you no longer need your company, then you can apply to Companies House to have this struck of the register and it will closed down.

Reporting Changes

When completing your confirmation statement, you must report any changes to:

• SIC Code (Standard Classification Code).
• Statement of Capital.
• Trading Status of Shares.
• Exemption from keeping a register of people with significant control.
• Shareholder Information.

Filing Your Confirmation Statement

You can only file your conformation online and this is done through Companies House website by logging in with your Companies credentials.

The annual return is just confirming that the information held at Companies House is up to date as there is only certain information on the company that is visible.

You must file a confirmation statement at least once in every 12-month period, but you can choose to submit one any time within a 12 month period.

The normal date for filing this would be the anniversary of the date that the company was incorporated (registered your business).

If you fail to submit your confirmation statement, then the company could be closed down and the bank account will then be frozen and in order to get the open again you will need to:

• Apply to the Secretary of State to reopen the company.
• Apply to the local court to permit this.
• There could be further charges involved in this procedure.

Confirmation Statement Costs

It costs:

• £13 to file your confirmation statement online
• £40 to send in a paper version of the confirmation statement.

Payment is taken by debit or credit card when completing his online

Once the confirmation statement has been submitted online you will receive a confirmation email that this has been accepted by Companies House and you should keep this as this is proof that it has been submitted and accepted.

This can be kept in on paper or email format.
